1. Acceptance of Terms
By accessing or using the DocuFlow Pro software-as-a-service application (the "Service"), provided by DocuFlow Pro ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.
2. Description of Service
DocuFlow Pro is a platform designed to assist mortgage brokers ("Brokers") in collecting and managing documents from their clients ("Clients") for mortgage application purposes. The Service includes a portal for Brokers to create cases and request documents, and a portal for Clients to upload documents.
3. Australian Compliance Requirements
Brokers using this service must comply with:
- National Consumer Credit Protection Act 2009 (NCCP)
- Privacy Act 1988 (Cth) including Australian Privacy Principles
- Anti-Money Laundering and Counter-Terrorism Financing Act 2006
- Corporations Act 2001 financial services requirements
Brokers must provide Clients with a Financial Services Guide (FSG) and Credit Guide as required under Australian law.
4. User Accounts
a. Broker Accounts
To use the Broker features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.
b. Client Access
Clients access the Service via unique links provided by their Broker. Clients do not create separate accounts with passwords but are identified by these unique access credentials.
5. User Responsibilities
a. Brokers
- Obtaining necessary consents from Clients to collect and manage their documents through the Service in compliance with Privacy Act 1988 (Cth)
- Ensuring document requests comply with NCCP responsible lending obligations
- Managing Client data in accordance with Australian Privacy Principles
- Maintaining the confidentiality of Client access links
- Implementing appropriate security measures for Client data
b. Clients
- Providing accurate information and documents as required by NCCP obligations
- Using the Service only for lawful purposes and in accordance with these Terms
- Maintaining the confidentiality of their unique access link
c. Prohibited Conduct
- Upload or transmit any material that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
- Violate any applicable Commonwealth, State or Territory laws
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others
- Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service
6. Fees and Payment
Certain features of the Service may be subject to fees as described on our pricing page. All fees are in Australian Dollars (AUD) and include GST where applicable. We use a third-party payment processor (e.g., Stripe Australia Pty Ltd) to handle payments. Your use of payment services is subject to the payment processor's terms.
7. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of DocuFlow Pro and its licensors. The Service is protected by copyright, trademark, and other laws of Australia. Our trademarks and trade dress may not be used without our prior written consent.
Documents uploaded by Clients remain the property of the Client. By uploading documents, Clients grant their Broker and DocuFlow Pro a license to store, process, and display these documents within the Service as intended.
8. Data Handling and Privacy
We comply with the Privacy Act 1988 (Cth) and Australian Privacy Principles. Our Privacy Policy details how we collect, use and disclose personal information. Brokers must implement appropriate security measures for Client data and comply with Notifiable Data Breaches scheme requirements.
9. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
10. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:
- to cancel your service contract with us; and
- to a refund for the unused portion, or to compensation for its reduced value
11. Disclaimer of Warranties
To the extent permitted by law, the Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not warrant that the Service will be uninterrupted, secure, or error-free. Statutory guarantees under the Australian Consumer Law apply and are not excluded by this clause.
12. Limitation of Liability
To the maximum extent permitted by Australian law, in no event shall DocuFlow Pro be liable for any indirect, incidental, special, consequential or punitive damages. Where liability cannot be excluded, our total liability is limited to the amount paid by you to us for the Services in the 12 months prior to the claim arising.
13. Indemnification
You agree to defend, indemnify and hold harmless DocuFlow Pro from and against any claims arising from: a) your use of the Service; b) breach of these Terms; or c) Content posted on the Service.
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.
15. Changes to Terms
We may modify these Terms at any time. Material changes will be notified at least 30 days in advance. Continued use after changes constitutes acceptance.
